It's pass through to the trading company. Most often the company forget about VAT and no one asked question.

can you advise me on what kind of agreement needs to be written up between the UK and offshore company for payment processing agreement? what are the things it needs to say in order to ensure its legal?
 
UK company must be owned by the company receiving the payments, so you can move the money freely inside the structure. You need to have a tax expert / accountant to help you with the drafting of the agreement so you don't get troubles with the local tax authorities in case of an audit.
