Hoping I can get advice, help on what structure I need. I don't see much in way of IPTV here but I'm sure I'm in a good place to be asking. New IPTV biz to be selling in USA, USA citizen. lots of copyright infringement heat flying around and could certainly become target of litigation. Planning large boots-on-the-ground multi-level marketing campaign. I think I need a USA based LLC (Wyoming?, close LLC, single member/manager) for appearance to all the affiliates and a US bank that can accept wires from Nevis and UK. Was thinking that once Wyoming LLC created (in my name) that I could have offshore LLC (Nevis?) wholly purchase Wy LLC as subsidiary, but keeping me and some others on payroll.
Most important is that when the copyright heat comes that I can deflect it to the Nevis LLC (who's "owners" should hopefully not be able to be discovered. The Nevis LLC to be owned by 2 US citizens and 1 non-US citizen (as protector). The other part of this is perhaps a donkey produced UK LLC, three sets of Payment processors and EMIs to receive the subscription payments and pay commissions directly to affiliates, wire funds to offshore LLC bank. The offshore LLC bank needs to send salaries, overhead pymts, etc to Wy LLC bank. Another problem here is that charge backs will cause occasional swap-out of donkey and rebuild of UK LLC/PP/EMI. That was the only scenerio I have been able to come up with so-far, but you guys are the experts. What SHOULD I do that would work for the long-haul?
