Swiss resident with US C Corp + Swiss Subsidiary - EU market access

I am a new member and very happy to have found this community.

I am‌ a Swiss resident/Citizen and planning to start a company to enter the EU market with‍ a product that is manufactured in Germany. The Swiss subsidiary would do the planning/marketing/contracts, there⁠ is no manufacturing outside the EU.

The C Corp would have two shareholders, myself and⁤ one other person. I would be the director, the other shareholder would have no active⁣ role and f does not want to be visible in the Swiss Handelsregister for professional⁢ reasons, hence a Swiss GmbH would not work. A Swiss AG is too cost prohibitive︀ as it's just one of several trial companies we want to evaluate.

Does the proposed︁ structure make sense or is it overly burdensome to deal with subsidiary tax and accounting︂ issues? Are there more elegant structures that would make sense?

Before inserting a US corporation, speak with a Treuhand about a nominee shareholding solution, where‌ they hold the shares and appear in the public registry on behalf of your partner.‍ That is probably going to be much, much easier than the extra hassle of a⁠ foreign holding company.
