Swiss company formation, has someone gone through the process, need help please?

Have any of you done that or knows a lot about it? Want to share some experiences?


From the technical side, is that an easy thing to do? im often thinking of setting up some internet business, more for the experience than the profit, but have no idea of the technicalities or legalities involved?


I'm planning to move to Zürisch and for that reason looking for help to register my company in Switzerland if possible.

Well there are plenty of lawyers available who can help you and which you may‌ search for.

There are 2 types of companies available as far as I researched and‍ they are as the following:

• Sagl (like a LLC), capital chf 20'000, public holders
  
  
• SA (like LTD), capital chf 100'000, private and bearer shareholders
  
  

I can't figure out at this⁠ time what the fees may be but will let you know once I have more.⁤

View attachment 123As en EU/EFTA citizens it is possible to move to Switzerland without‌ any VISA, you simply need to register your stay with the proper authorities as I‍ can read from the attached PDF document.Does anyone know where I can find the application⁠ for EU? Also I'm missing an overview of the different tax rates in the different⁤ Cantones in Switzerland.

Does anyone know a real estate in Zürich or Zug / Switzerland who may be‌ able to help find a flat to rent?

I received from the migration office in‍ Zürich the permission to move to Swiss if I can show them a contract to⁠ rent a flat, so it seems pretty easy everything 🙂

If you are an EU citizens there is absolutly no problem to move into Swiss‌ as long as you have a rent agreement for a flat and you can show‍ them a employment contract. Alternative if you are self employed you can show them audited⁠ reports as proof of a stable income.

I'm new to this forum however I might be able to help in this‌ case, I'm living and working in Zurich itself (used tow ork 9 years for UBS)‍ and since 4 years self employed in the financial industry (mainly wealth management but also⁠ getting into corporate services).

May I ask what is your monthly budget for rent. under⁤ homegate you find many things that are on the market and you can contact them.⁣

As for opening a swiss company - the fees are probably around USD 6-7k, however⁢ its important to know that at least 1 owner of the company needs to be︀ domicilied in Switzerland (nationality is obviously not required).

Also as already stated there are two︁ companies availlable and the procedure is as follows, you check the availlabilty of the name︂ and then you have to transfer either CHF 20k or CHF 100k to a bank︃ and they will issue a confirmation that the funds are there and once you have︄ this confirmation and you meet all other criterias you can incorporate the company.

Also depending on the business you are looking for︆ to establish you should look into the different cantons since taxes are pretty different.

However for any company in Switzerland you have to pay 8,5% of your net profit to︇ the goverment directly and then cantonal taxes depending where yout set the compoany up.

OP say's he want to move⁤ to Switzerland so I would say he don't need a Nominee to act Director and/or⁣ shareholder ?
Do you know the requirements to establish a sole proprietorship firm in Switzerland?⁢ also what costs there may be involved.

My budget is roughly CHF 1.500 - 1.700 I don't mind if it is between‌ Zürich and Zug rather than directly in these citizes, but the flat must be something‍ new not used and old.

Drillbill, you were fast, I want to ask for the⁠ sole proprietorship firm as well.

Seems we are a few here intrested maybe we should⁤ meet up in Zürich some day 😀

as for the sole proprietorship its pretty easy to establish and the costs are about‌ 1000-1500 CHF, a requirement ist that the company name has your name in it (like‍ Smith Adverstisement etc.)

The bad thing about a sole proprietorship is that you are personally⁠ 100% liable towards the company with all your private assets and that you dont get⁤ any unemployement money (hopefully that never happens obviously). Also you cant partner up with someone.⁣

Drillbill Obviously correct if he lives here, he doesnt need anyone else.

As for the⁢ rent, sounds like reasonable to get something nice, have a look on homegate its also︀ in english so you can check a bit around.

Do you know of a rental company in the area in question which may have‌ several flat's for rent, so one dosen't need to rent the flat privatly but rather‍ through a regulated company specialised in this business?

Admin, you can find a lot of information here "startups(dot)ch/en" (i'm not allowed yet to‌ post links), as for accounting services for sole proprierorship you only have to have it‍ once you do more then CHF 100k turnover.

I can also assist to help people⁠ since i work in finance and getting more into corporate services.

drillbill, im sure there⁤ are companies like that but on top of my head I wouldnt know one, but⁣ let me look shortly into it and i might be able to guide you to⁢ some, but without guarantee that they are really good 🙂

Does anyone of you know if you need to pay in ALL share capital? Or‌ can it be only 80% or other percentage? Some EU countries only require 80% while‍ others don't mind. I know Switzerland is not EU 😉

hmmm, interesting question I assume you mean the "stammkapital" in a GmBH or AG, right?‌

• For a GmbH you have to pay‍ in 100% of the 20.000 CHF
