Hi all,

Looking for some feedback on a proposed restructure,only recently came across the Cyprus IP Box and this forum.

I run a UK Ltd with 100% ownership. Business includes a retail store, workshop, and small team. Sales are both in-store and online.

I’m planning to set up a UK HoldCo above the main trading company, and then create a Cyprus IP Co underneath the HoldCo. The IP Co would contract me to develop IP,CAD files, design systems, repair SOPs,and license it back to the UK trading company. It would also lease out supporting equipment like CAD software, workstations, 3D printers, etc.
The idea is to gradually ramp up charges to around 12–14% of turnover, split between royalties and leasing. All income would be taxed under the IP Box regime at 2.5%, with dividends flowing back to the HoldCo for reinvestment or drawings.
I’ll remain UK-resident. The goal is to set up the leanest possible structure that qualifies for IP Box and passes HMRC/Cyprus scrutiny. Ideally handled by professionals, but I’m happy to sort some elements myself to keep costs down.
Looking for input on:
  • Any obvious red flags?
  • Realistic minimum cost to get a compliant structure in place? (I was aiming for sub-£5k/yr ongoing, but seems tight after reading a few threads)
  • Tips from anyone who’s done something similar?

I’ve seen some of Sol’s posts with supplier suggestions and will be following up there too.

This setup won’t work.
To qualify for Cyprus’s IP Box, R&D must be carried out‌ in Cyprus or outsourced to an unrelated party.
R&D conducted with related parties is excluded‍ from "Qualifying Expenditure" under Cyprus tax law.
Additionally, your budget is far too low to⁠ meet the economic substance requirements.
 
You are partially right here.⁤

Subcontracting to related parties is not excluded from "Qualifying Expenditure", however, it would mean that⁣ the IP benefit receive would be lower. You can still achieve 100% of the benefit,⁢ and consequently reach the lowest mark of 2.5% if you outsource to a related party︀ not more than 30% approximately. Outsourcing more would not disqualify you, but would not allow︁ you to receive 100% of the IP benefit.

It all depends on structuring and the︂ merits of each particular case.

Also, the cost of under 5,000 Euro would be impossible.︃ The OP would not be living in Cyprus therefore in addition to the cost of︄ setting up a company he would need nominee services, also assistance with the drafting of︅ agreements, tax ruling application etc.

Also, it does not look good trying to take advantage︆ of the IP box without having any real substance in Cyprus, therefore this should also︇ be taken into account.

Yeah, my wording was pretty bad, but I also didn’t want to︄ post a whole novel with the formula, etc.
I assumed 100% would be outsourced to︅ related parties, if I understood his post correctly.
 
Yes speaking of this particular case it will potentially have issues/difficulties as you have mentioned, for⁠ various aspects. I just wanted to clarify that outsourcing to a related party is not⁤ forbidden as such.

So this part‍ has me confused - I can't find any solid sources that detail how un/related parties⁠ work in regard to natural persons.
I was working on the assumption the related parties⁤ were companies, in this case, linked by the group structure. Whereas I am planning on⁣ contracting work to myself as a natural person.

If the above doesn't work are there⁢ workarounds for doing the work as a director or putting myself on payroll?

On the substance requirements -︁ I could travel to Cyprus 1-2 times per year to hold board meetings in country,︂ I assume this would help but not be the majority of the issue.

What is︃ a reasonable cost for a lean but passable setup? I have seen a couple of︄ posts talking about manned offices with utilities etc for over 10-15k/pa, which feels like massive︅ overkill for what I had in mind but finding actual examples of working setups appears︆ harder than I thought.

Also as a side note do these structures get rinsed for︇ fees? What info I can find is mentioning thousands for book keeping and accounts, I︈ don't pay that much in the UK for my basic services on the main business︉ with 9 staff and a lot of daily transactions.

Sorry for the follow up questions︊ digging deeper on the same points, would it be worth me signing up the account︋ upgrade. Is that the best place to find the higher level of detail I can't︌ find eslewhere?

One more question: is there a cap︍ on how much income that can be produced from the leasing of the equipment (directly︎ linked to the use of the IP)? IE. Pay a completely unconnected CAD designer for️ the IP (meets requirements), lease the equipment (bulk of the fees but blended so as‌ not be obvious), some ongoing maintenance of the IP to keep it updated?
