Hello Pros,

I would like to know if it is possible to setup UK ltd. in a way that I can be an anonymous director/shareholder?

As per my understanding and experience Companies House records are publicly available and list the the names and shareholdings of all direct shareholders, directors and persons of significant control, I think shareholding over 25% is the threshold to be considered as a person with significant control, also I think if you are person of significant control your name must be disclosed by the company at Companies House even if you are investing through a trust or company, correct? Is there other way or some 'cheap' jurisdictions (no geo. preferences but willing to spend below 1000 USD) that can allow me some basic anonymity? My case is vanilla one and is not involving crypto, P**N, ecommerce etc. I just want to setup an entity pay a reasonable price where I can be anonymous, and by anonymous, I mean not being seen by the average Joe using Google and looking for the company's name or my name and see me as a director/owner. To wrap up this newly established entity where I will be 'hidden owner' will then enter into a shareholding structure of another company to raise capital for M&A project.

Ideas, comments, advises - highly appreciated
 
US LLC might fit the bill. Cheap and easy to avoid public disclosure if you incorporate in privacy-minded states like Delaware, Wyoming, and New Mexico. Comes with drawbacks around banking and payment processing, so it depends on what your company does and what your needs are.

Okay, thank @Sols, I will check Delaware. Have contacted some company formation agents to see what they propose.
As I said earlier I am looking to setting up a simple, dormant company. The primary purpose of this entity would be to hold shares within the structure of a UK incorporated limited company, company will not do any business; One of my key considerations is the option for anonymity or, at the very least, a semi-anonymous arrangement so my personal details are not readily accessible through common searches by the general public; The goal is to maintain privacy while adhering to legal and regulatory requirements.

I had success with NM company to avoid my name to show up anywhere. I don't know with the others.

both, had this setup long time ago.

I hired a guy in the US to setup a small office for me and also act physical person there, he don't pay for renting the office and make his own business there while he help me with the substance. Win : Win for both.

I just read the thread https://www.offshorecorptalk.com/threads/anonymous-director-new-company-formation-advise.44120 , where, in what seems like a closing post, it's mentioned that we can get further clarification on how to find someone in the USA to manage our interests for a company, for example, in New Mexico, Wyoming, or Delaware.

This would allow the company to achieve substance status and meet all the requirements needed to obtain a bank account and other financial services connected to the company.

It doesn't have to be so complicated. You can still carry out that plan with a few tweaks found in the same forum. It's all about adapting as things change, but there will always be a way to find the right solution.

I had a suspicion that it was no longer possible to set up an anonymous company, but I was probably wrong. I'm currently in the process of finding someone to make it happen. Thanks for the lead here.
