Best service for forming a US LLC for non-resident

Seems like they provide incorporation services in a lot more‍ countries than just the US, interesting.
They also seem reasonably priced compared to other services.

>>We use https://freedomsurfer.com/ and have a Wyoming LLC. Haven't had an issue in 5 years.

Well they are 10 times as expensive than the other mentioned in this thread!!

The total cost for a US registration is 247 EUR at registration for the NM LLC,⁤ 297 EUR for the WY LLC / DE LLC, 397 EUR for the FL LLC⁣ / AZ LLC and 15 EUR every month thereafter for the NM LLC, 20 EUR⁢ for the WY LLC / DE LLC, 30 EUR for the FL LLC / AZ︀ LLC OR 197 EUR annually for the NM LLC, 297 EUR for the WY LLC︁ / DE LLC, 397 EUR for the FL LLC / AZ LLC

It's 10 times more than the registered agents, but if you want to︁ open an LLC the registered agents will charge you more, ie State Fees (approx $100︂ in Wyoming), and other fees.

I believe FS include Beneficial owner filings, the state fees,︃ registered agent, the 5472 + all required IRS filings for non-residents etc.

You'll probably find︄ that once you pay for a registered agent, the filing fees/articles of incorporation, plus somebody︅ to do the annual filing of each of those forms, the beneficial owner info etc,︆ you're going to pay a lot more elsewhere (maybe not, I didn't do a full︇ calculation)

Well, the Beneficial Ownership Information Report takes 15 min to fill in online and is not‍ complicated - doesnt make sense to pay for that. And hasnt Trump removed it anyway?

For the annual state filing and state fees: Well, one sets up one's LLC in⁤ New Mexico where there is no state filing nor any recurring state fee.

For the⁣ annual 1120 and 5472 filing, that is a little bit complicated, and different accountants will⁢ tell you different things. I see it this way, that no third party will care︀ as much as you about this, so best to be in control here oneself and︁ not outsource it. It's not too difficult to find good information about this and even︂ pay for advice - but best to file oneself.

And then you have the registered︃ agent, cant escape this unless you have a friend living in the US willing to︄ handle it. There are totally fine services that are worth paying for Id say.

And beside the initial setup (which is also worth paying for) that's it!

Could you recommend someone on Fiverr you've had success with regarding EIN in the past?

Yes, according to the interim final rule issued by FinCen last March,︆ BOI reporting is no longer required for domestic entities. Filing is now voluntary in such︇ cases.

Regarding New Mexico, are you certain that no Articles of Organization need to be︈ filed to form an LLC? That seems unlikely. Maybe New Mexico does not impose annual︉ reporting requirements, but I believe that an initial state filing is mandatory to validly form︊ an LLC in New Mexico.

Additionally, New Mexico imposes a state corporate income tax. Therefore,︋ if you elect to treat the LLC as a corporation for federal tax purposes (and︌ file Form 1120), the entity may be subject to New Mexico’s state-level corporate income tax,︍ depending on the nature and source of the income earned. I do not know if︎ a "water's edge election" is available over there (maybe they exempt foreign-source income), but it️ is something to have a look into.

Usually, non-resident aliens form LLCs in Delaware, Wyoming,‌ or Nevada.

I’ve seen far too many individuals‌ get into serious trouble because they believed they could handle everything on their own. Take,‍ for example, U.S. persons who set up joint-stock companies in Colombia, established obscure trusts in little-known Caribbean jurisdictions, and engaged in all sorts of complex structures to invest in U.S.⁤ capital markets ,often without fully understanding the legal and tax implications. Eventually, they end up⁣ seeking help, hoping to qualify for the benefits of the Streamlined Foreign Offshore Procedures. But⁢ if you've been operating like Blofeld from Spectre, don't expect the IRS,or any tax authority,︀ for that matter,to believe you acted in good faith. The same principle applies globally: if︁ your actions appear shady (or reckless, at the very least), you're likely to face consequences︂ at some point in the future.

This is completely irrelevant to this discussion, but for a US resident an EIN can‌ be obtained via online application.

Formation of a corporation in another state needs to balance‍ the costs of incorporation (filing fees, registered agent costs, state taxes in the state of incorporation, etc.) with possible costs associated with filing as a foreign entity (this being a⁤ concept among US states as “foreign” to the state) in your state of residence/state of⁣ operation and tax liability in the state(s) of operation. Of course, state definition of operation⁢ or nexus depends on the state (you may not have to file as a foreign︀ entity…some states only consider in-state derived income as operating in state) and the states have︁ tax codes as grotesque as the federal one. It can make sense in some situations︂ to file a Wyoming LLC, for example, and in other situations it can be simpler︃ to file in your state of residence.

The IRS, of course, cares nothing about those︄ details as long as they get their cut on the federal level.

I'm still waiting, he told me at the beginning it's taking longer than‌ usual and that I may need to wait up to 10 working days.

It’s completely normal for it to take a few days, but 10 business days is‌ quite a lot.
That said, it’s possible the rules have changed since I went through‍ the same procedure a few years ago.
