Seychelles IBC options for software services company

Hi all,


Seeking your feedback on which options to consider for a new Seychelles IBC. Have searched the forums & articles here (and on other sites) & would like to have some ideas prior to discussing with my legal rep.


The new business is software development services & selling software online for global clients; both for other companies and end-consumer as well.


So am considering a Seychelles SA or SARL (are these good choices for this type of business?) and will also be opening a Corporate Bank Account in Cyprus to go with new company & generating all Corporate Documents with apostle.


Wish to strike a strong balance between ease of use & privacy / protection; need global 24/7 access to funds, and prefer not have records pointing back to me too obviously, for my own protection.


For example, am US citizen & travel a lot; would prefer having the comfort of some protection.

• Preparation of Meeting Resolutions or letters
  
• Signing of Legal documents

So need answers to questions like:

1. Do I need a Corporate nominee shareholder or director for this type of business? What is the advantage?
   
2. Difference between private nominee director & corporate?
   
3. Who will have General Power of Attorney if I do not select the additional option?
   
4. Under what conditions would I want to pay extra for Preparation of Meeting Resolutions or letters & Signing of Legal documents?

Any other advice or relevant information for starting this type of business?

The answers to your questions are as‌ the following:

1. In most cases there is no need at all for a Nominee‍ director or shareholder, only in the case that you don't want to sign contracts, agreements⁠ etc. on your own and on behalf of the Seychelles company we recommend to appoint⁤ / insert a nominee.

2. A Private Nominee is a "natural person" who you can⁣ speak to directly and ask him/her to execute certain tasks, a corporate nominee is only⁢ there to hide the director and shareholder and can't be used to sign anything. Actually︀ in certain cases we can arrange for this anyway.

3. This is only applicable if︁ a nominee is appointed, otherwise your will have 100% control of the company.

4. This︂ depends entirely on what it is you need and want to do, it is actually︃ a very broad question.

In reply to #4, yes it is a broad question. Perhaps the question‍ is better worded: What would be one typical scenario for needing this?

In regards to⁠ documents, would bill from internet company be sufficient?

It must be a bill that shows the residential address of the client, i.e. a‌ utility bill (electricity bill, water supply, etc.) so a internet bill will not be sufficient,‍ alternative a bank- or credit card statement is valid documentation.

Just to clarify; what if the internet bill does show the residential address of the‌ client? (internet service for the home)

I submitted a ticket to them asking for more details about Belize company and they‌ replied within 5 hours.

Can some please explain what nominee we need, I mean, foreign, private, corporate or local??‌ Sorry but it is confusing.

If you only need the nominee to be there for tax reason a corproate nominee‌ will do fine, if you need them to sign anything a private nominee is required.‍

Please confirm Admin if you can.

I can confirm that,⁠ you will need a Private nominee (most often only director) if you need anyone else⁤ than yourself to sign on behalf of the company or to complete applications and what⁣ is attached to that task. This most often costs additional since there is charge on⁢ a per hour basis most of the time.
