I'm working on setting up a VPN business, and I'm trying to structure it with multiple legal entities for maximum protection and flexibility.
Ideally, I'd like to use nominee services wherever possible. The plan is to have a company in Panama/BVI/Belize own the users and intellectual property, while the day-to-day operations like managing payments, app store accounts, and in-app purchases””would be handled by another company, possibly in Switzerland or Cyprus.
For example, the Panama/BVI/Belize LLC would sign contracts with data centers for the servers, but the Swiss (or Cyprus) entity would handle the payments. This way, the operational and financial sides are separated from the ownership of the user data and IP.
At the moment, I have my old US LLC registered in New Mexico, that already has google and apple play/app store accounts. But I don't have us bank account, since Mercury closed it, and Novel just denied me.
I reached out to fasoon.ch two times via email because I thought Switzerland could be a good base for the operational company (privacy and credibility wise), however, they didn't even bother to respond, which is funny to say at least.
I'm also considering Cyprus instead of Switzerland, as I don't want to pay tens of thousands of CHF just to open a company in Switzerland and who knows how much more annually for nominee services, even though fasoon.ch appeared cost-effective (but I am not sure if they provide nominee service).
Does anyone have experience with structuring similar business like this, particularly when it comes to using multiple entities? Also, any thoughts on Cyprus vs Switzerland for the operational company?
Also, tax evasion is not a goal here. Tax reduction is fine and would like to use legal ways to lower it down as much as I can, but first I need to make some profit in order to think about that.
I am really open to any functional suggestions. I can travel anywhere in the world, if needed, to open the bank account and do whatever is needed to incorporate (except US, at least for the next 12 months).
