How to set up processing under friends name, but get taxes under mine

I'm on the MATCH list. I have a friend who's willing to let me use his info to open a processing account, but he doesn't want taxes to go under his name.

I'm located in the US.

What are the options for doing this while having taxes go under my name and not his?
 
You'll need a tax adviser to confirm this, but a nominee arrangement might work. Ask a lawyer to draft a nominee agreement, where your friend is the director of your corporation and also the sole shareholder, but the shares are held in your friend's name for your benefit. Dividends can then be distributed to you directly or to your friend and then to you. There is a lot of small things to consider here, so make sure to run it by someone who knows your local tax code.

Probably won't work with an LLC. If at all doable, it'd probably have to be an S or C Corp.

You can also do it without a nominee agreement. But it's a good piece of paper to have in case your friend tries to run off with the money.

When you open merchant accounts, they will ask you to declare UBO. That's technically you, but there is no way of verifying that independently nor will anyone at a PSP question it so long as your friend has a CV and profile that matches the business.
