Example company sale agreement

A client's bank has requested proof of SOW which was given as proceeds from the sale of a company. If someone has an example of typical wording for such an agreement could you please share? Or if there is a service provider who can supply a draft for a fee that would also be of interest.

I have tried Google but results were not good.
