What is a certificate of incumbency?

I need to get a certificate of incumbency for my offshore company but I don't know what it is??

Can anyone let me know how I can get such documents and who has to provide it?

the registered agent can provide this document and or if you bought the company from a service provider then they can provide it
it usually states the company name, registration number, the current shareholder, director, secretary of the company and the registered agent name address etc sometimes it also states that the company is in good standing
what country is the company incorporated in ? if you check on the memorandum and articles of association of the company documents you should be able to see who the registered agent is for countries like BVI, Belize etc
