How to reinstate closed LLC (Delaware)?

Some years ago I have registered and after a while closed LLC in Delaware. It did no business so I closed it with IRS. I would like to bring it back to life. Why not a fresh one? Because it already has EIN and business account set up with PayPal.

I turned to the agent previously involved with that LLC, they said they can take care of filing necessary forms and reinstating the LLC for $1900. That seems a bit high. Can I send the documents myself? What are those documents? Or maybe there is a registered agent who could do it for getting the standard annual agency fee?

How you closed the entity with IRS but it still has EIN?

Have you dissolved the entity and filed Certificate of Cancellation?

What is the current status regarding statutory/registered agent, address and franchise tax?

In case that your entity is in delinquent status, you may file a Certificate of Revival

You may electronically file via

https://icis.corp.delaware.gov/ecorp2/

option Document filing and certificate request but you should only control the documents' content and let statutory agent to perform filings.

Well, it worked for PayPal years after dissolution.
And yes - it was the Certificate of Cancellation (or something like that)

Hence, the entity does not exist legally.

If you file Certificate of Revival, EIN and original filing number will not be changed though.

But, it may trigger a problem with PayPal if they request Certificate of Good Standing or perform additional due diligence.

Tread carefully.

Yup, that's why I need to revive it. If any Delaware registered agent is reading this - please step forward 🙂
 
Why don't you just pay the 1900 dollars it costs to have the company reopened and fully cleaned up by the agent you've used to handle the company in the past? That way, you avoid the risk of finding some other agent who might charge less but might not deliver the results you're looking for.

What are the "results" here? Registered Agent only gives their name+address, that is all. It costs $50-$100 per annum. Hence, $1900 sounds a bit high.

Even if it does, it's better to pay it then to cry for it after 🙄

I employ people that are drafting different papers. Also, I'm perfectly capable to do it myself. But, using a lawyer or fiduciary or trustee is a matter of a corporate culture.

I'm doing my businesses legally, where my name is required to be listed I don't object. I also maintain my privacy and anonimity.

I can't understand all those questions at OCT about annual reports and hiding yourself from it - what are they hiding and from whom? National tax authority - there is a foregone conclusion there 🙄

Bottom line - you can't have anonimity and privacy in a way that is a contemporary and common understanding. You never couldn't. Also, it's not serious for business image.

If you want privacy and anonimity, structure trust in Liechenstein and holding AG in Switzerland before it. Or other jurisdictions per professional advice. There are cheap and dirty and complex, elegant, functional and most importantly successfull solutions.

I have registered an LLC in Delaware a few years ago, it did zero business, so I closed it. I would like to relaunch this LLC instead of setting up a new one for my new business, because it already had EIN, which is valid today. I'm non-resident foreigner.

What is the procedure, what do I need to do? I approached INCPlan, which incorporated (and closed) that LLC previously, and they told me it's gonna cost "far more" to relaunch than to set up a new one. Without telling me what "far more" means exactly. Why "far more"? Can I just fill & send some relaunching forms to the Delaware State...
