Moving profits out of a SEY-company to EU company (RO)

Hi everyone,

I need to move some funds from my SEY company (has account in EU) to a new EU based company, preferably my home country RO, or CY, HU, BG in case its not a good idea.

I think transferring to a local company might raise flags and its not easy to fake a business activity that generates 100k a month. Maybe software selling activity or design/architecture might do the trick.

What's the best strategy/method of doing this with lowest risk possible?
 
SEY company invests in the new co via equity and debt.
Draw up some agreement for deferred interest on the debt.
 
Trouble is that my name would be on the agreements, guess I should get a nominee director for the SEY company.
 
Then maybe is better to open a Cyprus company, SEY company invest in CY via debt and CY company invest in RO. It looks more legit and the risk exposing my offshore company is lower.
Basically this is the setup my local accountant suggested.

The end goal is to move money to invest in some real estate projects.
 
I guess its even better if the CY company would be registered on a friend's name, not mine.

What would happen with the debt if I decide to close the SEY company, how the CY company will pay it back?
 
I'm still wondering what would happen with the debt if the SEY company gets closed, the CY or any other company have to pay it back?

Or the debt can be paid back to a shareholder of SEY company?
